UK Trade Terms and Conditions

These UK Trade Terms and Conditions (“Terms”) govern all quotations, wholesale sales and supply agreements issued by APS UK Ltd trading as Kiosk Bazar (“Kiosk Bazar”, “we”, “us”) to approved trade customers (“Customer”, “you”). These UK Trade Terms and Conditions apply exclusively to business-to-business (B2B) transactions within the United Kingdom.

By placing an order with us, you agree to be bound by these UK Trade Terms and Conditions.

1. Definitions

Products: Solid wood furniture and related goods supplied by us.

Bespoke / Made-to-order: Products made to your specifications, finishes, dimensions, or any non-stock configuration.

Order Confirmation: Our written acceptance of your order (email is sufficient).

Working Day: Monday to Friday excluding UK public holidays.


2. Trade-only Supply (No Consumer Sales)

2.1 Our supply is strictly for registered trade customers (e.g., furniture retailers, interior design studios, hospitality / contract procurement, distributors).

2.2 We do not supply individual residential consumer orders and we do not offer consumer “cooling-off” rights.

2.3 If you resell Products to consumers, you do so in your own name and at your own risk. You are responsible for your consumer-facing policies and compliance.


3. Quotations & Pricing

3.1 Quotations are valid for 14 days unless stated otherwise.

3.2 Prices are exclusive of VAT unless stated. Delivery/transport/insurance/handling are charged as specified in the quotation or Order Confirmation.

3.3 We may correct typographical or obvious pricing errors at any time prior to Order Confirmation.


4. Orders & Acceptance

4.1 An order is only binding once we issue an Order Confirmation.

4.2 We may request additional details (drawings, finish references, site constraints, access restrictions) before confirming an order.

4.3 Where you provide specifications, you warrant they are accurate and suitable for intended use and installation conditions.


5. Product Nature, Materials & Tolerances (Solid Wood)

5.1 Our Products are handcrafted from natural materials. Variation in grain, colour, tone, figure, knots, and character marks is normal and not a defect.

5.2 Solid wood may move (seasonal expansion/contraction). Minor movement, hairline checks, and natural features consistent with solid wood are not faults.

5.3 Product images are illustrative. Exact colour/texture may vary by screen, lighting, and natural material variation.

5.4 Unless expressly stated, dimensions are subject to reasonable manufacturing tolerances.


6. Lead Times

6.1 Any lead times provided are estimates and not guaranteed dates.

6.2 We are not liable for delay caused by factors beyond our control (including supplier delays, transport disruptions, customs, force majeure).

6.3 If timing is critical (project deadlines, installation windows), you must notify us in writing before Order Confirmation so we can assess feasibility.


7. Payment Terms

7.1 Unless otherwise agreed in writing, payment terms are:

Deposit: 50% due upon Order Confirmation
Balance: 50% due prior to dispatch
(Alternative terms may be agreed and stated in the Order Confirmation.)

7.2 Late payments may be charged interest and recovery costs in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998.

7.3 We may suspend production or dispatch if payment is overdue.


8. Delivery, Risk & Title

8.1 Delivery terms (Incoterms if applicable, carrier, service level) will be stated in the quotation or Order Confirmation.

8.2 Risk (loss/damage) passes to you upon delivery at the agreed delivery point, or upon collection if you arrange collection.

8.3 Title (ownership) remains with us until we have received cleared funds in full for the Products and any related charges.


9. Access, Site Conditions & Offloading

9.1 You must ensure safe and suitable access for delivery vehicles and offloading, including adequate manpower/equipment where required.

9.2 Any waiting time, failed delivery, re-delivery, storage, or special handling costs caused by site/access constraints are chargeable.


10. Inspection, Damage & Claims

10.1 You must inspect Products upon delivery and note visible damage or shortages on the delivery paperwork (or carrier device) and take photos immediately.

10.2 You must notify us in writing within:
– 48 hours for visible transit damage/shortages; and
– 5 working days for concealed damage discovered after unpacking.

10.3 Failure to comply may affect our ability to claim against carriers and may result in the claim being refused.

10.4 Installation damage, misuse, inadequate site conditions, or damage after risk has passed is not our responsibility.


11. Returns, Cancellations & Made-to-order Goods

11.1 Bespoke / made-to-order Products are non-cancellable and non-returnable once production has started.

11.2 For standard Products, any return must be pre-approved in writing by us. Returned goods must be unused and in original packaging.

11.3 Where cancellation is permitted, we may charge for costs incurred.


12. Warranty (Trade)

12.1 Unless otherwise stated in writing, our warranty covers manufacturing faults for 12 months from delivery.

12.2 Warranty excludes natural wood movement, colour variation, improper installation, humidity extremes, misuse, and third-party modifications.

12.3 Liability is limited to repair, replacement, or credit at our option.


13. Limitation of Liability

13.1 Nothing limits liability for death, personal injury, fraud, or liability that cannot be excluded under law.

13.2 We are not liable for indirect or consequential losses including loss of profit, revenue, goodwill, project delay costs, or third-party claims.

13.3 Total liability is limited to the net invoice value of the affected order.


14) Intellectual Property

14.1 All designs, drawings, visuals, product specifications, and content remain our intellectual property unless agreed otherwise in writing.
14.2 You may not reproduce or distribute our drawings/images for marketing unless permitted in writing (or via an agreed brand/asset pack).


15) Confidentiality

15.1 Commercial terms, pricing, drawings, and trade information shared between us are confidential and may not be disclosed to third parties without written consent, except where required by law.


16) Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including (without limitation) fire, flood, industrial action, transport disruption, supplier failure, war, or government restrictions.


17) Notices

Notices must be in writing and sent to admin@kioskbazar.com (or any updated address we notify).


18) Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder will continue in full force.


19) Entire Agreement

These Terms, together with the relevant quotation and Order Confirmation, constitute the entire agreement between the parties.
These Terms shall prevail over any purchase terms or conditions submitted by the Customer.


20. Changes to These UK Trade Terms and Conditions

We may update these UK Trade Terms and Conditions from time to time by publishing an updated version on our website. The version in effect at the time of Order Confirmation will apply to that order.


21. Governing Law under UK Trade Terms and Conditions

These UK Trade Terms and Conditions are governed by the laws of England & Wales. Courts of England & Wales shall have exclusive jurisdiction.
